1. Agreement to Terms

Welcome to PageRoast. These Terms of Service ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and PageRoast ("Company," "we," "us," or "our") governing your access to and use of the PageRoast website located at https://pageroast.io (the "Website") and all related services, features, content, and applications offered by PageRoast (collectively, the "Services").

By accessing or using our Services, creating an account, or clicking to accept or agree to the Terms when this option is made available to you, you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to all of these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email (sent to the email address specified in your account) or by means of a notice on this Website prior to the change becoming effective. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, you must stop using the Services.

Please also read our Privacy Policy, Cookie Policy, and Acceptable Use Policy, which are incorporated by reference into these Terms. By using our Services, you also agree to be bound by those policies.

2. Description of Services

PageRoast provides an AI-powered landing page audit and analysis service designed to help marketers, business owners, and agencies improve their landing page conversions. Our Services include, but are not limited to:

  • Landing Page Audits: Automated analysis of landing pages across multiple device viewports (desktop, tablet, and mobile) using AI technology to identify issues and opportunities for improvement.
  • Screenshot Capture: Visual capture of submitted landing pages for analysis purposes.
  • AI Analysis: Evaluation of landing pages across multiple categories including design, copywriting, call-to-action effectiveness, trust signals, and mobile experience.
  • Audit Reports: Generation of comprehensive PDF reports containing findings, scores, and recommendations.
  • Dashboard Access: A user interface to manage your audits, view results, and access your audit history.
  • White-Label Reports: For qualifying subscription tiers, the ability to generate branded reports with your own logo and agency name.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content, with or without notice. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you must register for an account. When you register for an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your login credentials.
  • Accept all responsibility for all activities that occur under your account.
  • Notify us immediately if you believe your account has been compromised or if there is any unauthorized use of your account.

3.2 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your account. We encourage you to use a strong, unique password that you do not use for other online services. You agree not to disclose your password to any third party.

We will not be liable for any loss or damage arising from your failure to comply with the above requirements. If you discover or suspect any unauthorized access to your account, you must notify us immediately at contact@pageroast.io.

3.3 Account Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at contact@pageroast.io. Upon account termination, we will delete your account data in accordance with our Privacy Policy, except where we are required to retain data for legal purposes.

4. Payment Terms and Pricing

4.1 Credit-Based System

PageRoast operates on a credit-based system. Each landing page audit consumes one (1) credit from your account balance. Credits may be purchased through various packages offered on our Website or through subscription plans that include monthly credit allocations.

4.2 Pricing

All prices are displayed on our Website and are subject to change at any time without prior notice. Price changes will not affect credits or subscriptions already purchased. All prices are in United States Dollars (USD) unless otherwise specified.

4.3 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy. We do not store complete credit card information on our servers. You represent and warrant that the payment information you provide is accurate and that you are authorized to use the payment method.

4.4 Taxes

You are responsible for paying all applicable taxes, including sales tax, value-added tax (VAT), goods and services tax (GST), and any other taxes that may be imposed on your purchases. We may collect taxes on behalf of tax authorities where required by law.

4.5 Credit Validity

Purchased credits do not expire and remain valid for the lifetime of your account. However, if your account is terminated for breach of these Terms, any unused credits will be forfeited without refund.

4.6 Subscriptions

If you purchase a subscription, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected). Subscriptions will automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting contact@pageroast.io.

If you cancel a subscription, you will retain access to subscription benefits until the end of the current billing period. No partial refunds will be provided for cancellations made mid-cycle.

5. Refund Policy

We stand behind the quality of our Services. Our refund policy is as follows:

5.1 Failed Audits

If an audit fails to complete due to a technical error on our part (such as screenshot capture failure or AI processing error after all retry attempts have been exhausted), we will automatically refund the credit to your account. No action is required on your part.

5.2 Service Issues

If you experience a significant issue with the quality of an audit (such as substantially incorrect analysis or corrupted report), please contact us at contact@pageroast.io within 7 days of the audit completion. We will review your request and, at our discretion, may provide a credit refund or re-run the audit at no additional cost.

5.3 Monetary Refunds

Refunds of monetary payments may be provided at our sole discretion. We may offer a full or partial refund within 14 days of purchase if:

  • You have not used any credits from the purchase.
  • There are documented technical issues that prevented you from using the Services.
  • The Services materially differ from their description.

To request a monetary refund, please contact us at contact@pageroast.io with your order details and reason for the refund request.

5.4 Non-Refundable Situations

Refunds will generally not be provided for:

  • Credits that have already been used to generate completed audits.
  • Dissatisfaction with audit results or recommendations (as AI analysis is subjective).
  • Account termination due to violation of these Terms.
  • Change of mind or no longer needing the Services.
  • Inability to use the Services due to your own technical limitations or blocked access.

5.5 EU Consumer Rights

If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 days without giving any reason (the "cooling-off period"). However, by using the Services and consuming credits during this period, you expressly acknowledge that you lose your right of withdrawal for those consumed credits.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by PageRoast, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The PageRoast name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PageRoast or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

6.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.
  • Use any data mining, robots, scraping, or similar data gathering or extraction methods.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services.
  • Access the Services to build a competitive product or service.
  • Use the Services in any way that could damage, disable, overburden, or impair the Services.

6.3 Your Content and Data

You retain ownership of any content or data you submit to the Services, including the URLs of landing pages you submit for analysis ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Services.

You represent and warrant that you have all necessary rights to submit the User Content and grant us the license described above. You are solely responsible for your User Content and the consequences of submitting it.

6.4 Audit Reports

The audit reports generated by our Services are provided for your use. You may share, distribute, or publish your audit reports as you see fit. However, you may not:

  • Remove or obscure any copyright, trademark, or other proprietary notices from the reports.
  • Misrepresent the source or authorship of the analysis.
  • Sell or license the reports as a standalone product or service without a separate agreement with us.

6.5 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, create derivative works from, and incorporate such Feedback into the Services without any obligation to you.

7. Acceptable Use and Prohibited Activities

You agree to use the Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to:

  • Use the Services in any way that violates any applicable federal, state, local, or international law or regulation.
  • Submit URLs that lead to websites containing illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable content.
  • Submit URLs for websites you do not have permission to analyze or that contain content you are not authorized to access.
  • Attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services.
  • Use the Services to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.
  • Upload or transmit any material that acts as a passive or active information collection or transmission mechanism.
  • Use any robot, spider, crawler, scraper, or other automated means to access the Services for any purpose without our express written permission.
  • Attempt to access any part of the Services that you are not authorized to access.
  • Impersonate or attempt to impersonate PageRoast, a PageRoast employee, another user, or any other person or entity.
  • Use the Services for competitive analysis or to build a competing product or service.
  • Sell, resell, or commercially exploit the Services or access to the Services without our prior written consent.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services.
  • Engage in any activity that could disable, overburden, damage, or impair the Services.
  • Use the Services to generate spam, phishing attempts, or fraudulent content.
  • Attempt to reverse engineer, decompile, or disassemble the Services.
  • Assist, encourage, or enable any third party to do any of the foregoing.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content, terminating the account, and reporting to law enforcement authorities.

8. Third-Party Services and Links

Our Services may integrate with or contain links to third-party websites, services, or applications that are not owned or controlled by PageRoast. These third-party services include, but are not limited to:

  • Google (Gemini AI): AI analysis and processing services.
  • Stripe: Payment processing services.
  • Supabase: Database and authentication services.
  • ScreenshotAPI.net: Screenshot capture services.
  • Cloudflare R2: File storage services.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that PageRoast shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party services that you visit or use.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAGEROAST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PAGEROAST DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS; OR (E) THE AUDIT RESULTS, RECOMMENDATIONS, OR ANALYSIS PROVIDED BY THE SERVICES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR SPECIFIC NEEDS.

THE AI-GENERATED ANALYSIS AND RECOMMENDATIONS PROVIDED BY THE SERVICES ARE BASED ON AUTOMATED ALGORITHMS AND SHOULD NOT BE CONSIDERED PROFESSIONAL ADVICE. YOU ACKNOWLEDGE THAT THE ANALYSIS IS SUBJECTIVE AND MAY NOT ACCOUNT FOR ALL FACTORS RELEVANT TO YOUR SPECIFIC SITUATION. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON THE AUDIT RESULTS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAGEROAST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  • ANY CONTENT OBTAINED FROM THE SERVICES;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
  • ANY DECISIONS OR ACTIONS TAKEN BASED ON THE AUDIT RESULTS OR RECOMMENDATIONS;
  • ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE ANALYSIS OR REPORTS;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL PAGEROAST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO PAGEROAST IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, PAGEROAST'S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless PageRoast, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services, including any data or content transmitted or received by you;
  • Your violation of any term of these Terms, including without limitation your breach of any representations and warranties;
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right;
  • Your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities;
  • Any misrepresentation made by you;
  • Any content you submit to the Services, including URLs of websites you do not own or have permission to analyze;
  • Your use of the audit results or recommendations, including any decisions or actions taken based thereon.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing a claim against PageRoast, you agree to try to resolve the dispute informally by contacting us at contact@pageroast.io. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or PageRoast may bring a formal proceeding.

11.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures or, for claims under $250,000, the JAMS Streamlined Arbitration Rules and Procedures.

The arbitration shall be conducted in English. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

11.3 Class Action Waiver

YOU AND PAGEROAST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and PageRoast agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

11.4 Exception for Small Claims

Notwithstanding the foregoing, you may bring an individual action in small claims court if your claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis.

11.5 Opt-Out

You have the right to opt out of and not be bound by the arbitration and class action waiver provisions set forth above by sending written notice of your decision to opt out to contact@pageroast.io within 30 days of your first use of the Services. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration agreement.

11.6 EU Consumers

If you are a consumer residing in the European Union, you may also be entitled to submit disputes to the Online Dispute Resolution platform established by the European Commission at https://ec.europa.eu/consumers/odr/. This provision does not affect your rights under mandatory consumer protection laws in your country of residence.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware, United States. You waive any jurisdictional, venue, or inconvenient forum objections to such courts.

If you are a consumer in the European Union, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms, including this section, affects your rights as a consumer to rely on such mandatory provisions of local law.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other legal notices published by us on the Services, constitute the entire agreement between you and PageRoast concerning the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and PageRoast with respect to the Services.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent.

13.3 Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of PageRoast.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

13.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13.6 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and PageRoast.

13.7 Survival

The provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

13.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

13.9 Notices

We may provide notices to you via email (to the email address associated with your account), by posting on the Website, or through other reasonable means. You must ensure that your contact information is current and accurate. Notices to us should be sent to contact@pageroast.io.

BY USING THE SERVICES OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

You acknowledge that:

  • You have had the opportunity to review these Terms and have read and understood them.
  • You have the legal capacity to enter into these Terms.
  • You are using the Services voluntarily and understand the nature of the Services.
  • The AI-generated analysis and recommendations are automated and may not be suitable for all situations.
  • You are solely responsible for any decisions or actions taken based on the audit results.
